Welcome to UptimeIO. These Terms of Service ("Terms") govern your access to and use of UptimeIO.com ("UptimeIO", "we", "us", or "our") website monitoring services, website, and related services (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

You must be at least 18 years old to use our Services. By using UptimeIO, you represent and warrant that you meet this age requirement.

2. Description of Services

UptimeIO provides website and service monitoring solutions, including but not limited to:

  • HTTP/HTTPS uptime monitoring
  • SSL certificate monitoring
  • DNS monitoring
  • TCP port monitoring
  • Multi-region monitoring
  • Alert notifications (email, SMS, integrations)
  • Status pages
  • Incident management
  • API access

3. Account Registration

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Use a strong, unique password
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access to your account
  • Not share your account credentials with third parties

4. Subscription and Payments

4.1 Pricing Plans

We offer various subscription plans including free and paid tiers. Current pricing and features are available on our Pricing page. We reserve the right to modify pricing with reasonable notice to existing customers.

4.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis depending on your chosen billing cycle. Additional charges (such as SMS credits or extra team members) are billed according to usage.

4.3 Refunds

We offer a 10-day money-back guarantee for new paid subscriptions. If you are not satisfied with our Services within the first 10 days, contact us for a full refund. Refunds for annual plans after the initial 10-day period are provided on a pro-rata basis at our discretion.

4.4 Plan Changes

You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of your current billing period.

5. Acceptable Use

You agree not to use our Services to:

  • Monitor websites or services without proper authorization
  • Conduct denial-of-service attacks or stress testing
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit malware, spam, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Resell or redistribute our Services without permission
  • Use the Services for competitive analysis or benchmarking against us

We reserve the right to suspend or terminate accounts that violate these terms.

6. Service Level and Availability

6.1 Uptime Commitment

We strive to maintain high availability for our monitoring services. While we target 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

6.2 Monitoring Accuracy

We use multiple monitoring regions and implement verification mechanisms to reduce false positives. However, monitoring results may be affected by network conditions, and we do not guarantee 100% accuracy in all circumstances.

7. Intellectual Property

7.1 Our Rights

UptimeIO and its licensors own all rights, title, and interest in the Services, including all software, designs, trademarks, and content. These Terms do not grant you any rights to use our trademarks or branding.

7.2 Your Content

You retain ownership of any content you provide to us (such as monitor configurations, status page content, and incident updates). You grant us a limited license to use this content solely to provide the Services to you.

8. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

9. Third-Party Integrations

Our Services may integrate with third-party services (Slack, Discord, PagerDuty, etc.). Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or functionality of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM DOWNTIME OF YOUR MONITORED SERVICES

11. Indemnification

You agree to indemnify and hold harmless UptimeIO, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services or violation of these Terms.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Your account will remain active until the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. We may also discontinue the Services with 30 days' notice.

12.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your data according to our data retention policies. Sections that by their nature should survive termination (such as Limitation of Liability and Indemnification) will remain in effect.

13. Governing Law and Disputes

These Terms shall be governed by the laws of the European Union. Any disputes arising from these Terms or your use of the Services shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to the competent courts.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email at least 30 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and UptimeIO regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
